1. INTRODUCTION AND PURPOSE

These Terms of Service, Advertising, Pricing & Promotional Terms (“Terms”) govern your access to and use of the website, online content, advertisements, promotional materials, communications, and related services operated by Johnson's Furniture & Mattress Gallery (“Johnson's,” “we,” “us,” or “our”).

These Terms apply to information and offers presented through our website, online advertisements, social media, email, text messages, printed advertising, digital advertising, promotional materials, and other marketing channels, unless a particular offer expressly provides different terms.

By accessing or using our website, responding to an advertisement, participating in a promotion, requesting information, or otherwise interacting with Johnson's through our website or electronic services, you acknowledge that you have read, understood, and agree to these Terms to the extent permitted by applicable law.

If you do not agree with these Terms, you should discontinue use of the website and related services.

2. CONTINUATION AND REPUBLICATION OF PRIOR TERMS

These Terms are intended to serve as a continuation, consolidation, and republication of the terms and conditions previously maintained and used by Johnson's Furniture & Mattress Gallery beginning in January 2018.

Johnson's previously operated a website under an earlier website platform. That prior website was subsequently taken offline or became unavailable when the website platform and/or service supporting it was discontinued, requiring Johnson's to reconstruct and relaunch its website.

The current website and these Terms therefore consolidate and restate the company's applicable website, advertising, pricing, promotional, and usage terms in a current format.

The January 2018 date identifies the original effective period of the company's website terms and is not a representation that the present document is word-for-word identical to every prior version of the Terms.

The current version governs the present website and supersedes prior website terms to the extent permitted by law.

3. GENERAL WEBSITE INFORMATION

Johnson's makes reasonable efforts to provide accurate and current information on its website and in its advertising.

However, information may occasionally contain errors, omissions, outdated information, typographical mistakes, technical errors, or information that has not yet been updated following a change in inventory, pricing, specifications, availability, or promotional terms.

6. PRICING ERRORS AND ADVERTISING ERRORS

Although Johnson's makes reasonable efforts to prevent pricing and advertising errors, errors may occasionally occur.

If an item is advertised or displayed with an incorrect price due to a typographical error, technical error, data-entry error, system error, supplier error, or other mistake, Johnson's reserves the right, to the extent permitted by applicable law, to:

Correct the advertised information;
Correct the price before completing the transaction;
Cancel or decline an order affected by an obvious pricing error;
Notify the customer of the error;
Offer the customer the opportunity to purchase the item at the corrected price; or
Take any other action permitted by applicable law.

An advertisement, website listing, social media post, email, text message, or other promotional communication containing an obvious error does not automatically create an obligation to sell merchandise at the erroneous price where applicable law permits correction or cancellation.

7. SALE PRICES AND DISCOUNTS

Unless expressly stated otherwise, discounts apply only to qualifying merchandise and may be subject to exclusions and other restrictions.

A discount may not be combined with:

Coupons
Promotional codes
Special financing
Manufacturer promotions
Rebates
Previous purchases
Certain clearance or closeout pricing
Other offers

unless the applicable promotion expressly permits combination.

A percentage discount applies to the qualifying merchandise price specified by the promotion and does not necessarily apply to delivery, installation, taxes, fees, protection plans, or other charges.

8. “UP TO” DISCOUNTS

When advertising states “up to” a particular percentage or dollar amount, the stated maximum discount applies only to qualifying merchandise or transactions that meet the applicable promotional conditions.

The maximum advertised discount does not mean that every item is discounted by that amount.

Individual products may have different discount levels, exclusions, or promotional pricing.

Customers should review the specific promotional terms applicable to the merchandise they wish to purchase.

9. CLEARANCE, CLOSEOUT AND FINAL-SALE MERCHANDISE

Clearance and closeout merchandise may include discontinued, discontinued-color, discontinued-model, overstock, floor sample, display, open-box, returned, scratch-and-dent, damaged-box, previously assembled, or otherwise specially priced merchandise.

Unless otherwise required by law or expressly stated in writing:

Clearance merchandise is subject to availability.
Closeout merchandise may be limited to one or a limited number of units.
Clearance pricing may not be combined with other offers.
Clearance and closeout merchandise may be final sale.
Replacement parts, matching pieces, colors, fabrics, finishes, or accessories may not be available.
Future availability is not guaranteed.
Floor samples and display merchandise may have normal signs of handling or use.
Condition of clearance merchandise may vary.

Any applicable final-sale, as-is, scratch-and-dent, floor-model, or other special condition will be disclosed to the customer as required by applicable law.

10. INVENTORY AND AVAILABILITY

Website inventory information is not a guarantee that merchandise is physically available at a particular store at the time a customer visits.

Inventory may sell out, be reserved, transferred, damaged, discontinued, delayed, or become unavailable before website information is updated.

Availability may vary by store.

A product appearing on the website does not guarantee:

Immediate availability;
Same-day pickup;
Specific quantities;
Specific colors;
Specific sizes;
Specific configurations;
Specific delivery dates; or

14. FURNITURE MEASUREMENTS AND FIT

Furniture dimensions listed online or in advertising may be approximate.

Customers are responsible for determining whether merchandise will fit:

In the intended room;
Through doors;
Through hallways;
Through stairways;
Through elevators;
Through gates;
Through entryways;
In vehicles;
In the intended location; or
In any other area through which the merchandise must pass.

Customers are encouraged to measure all relevant areas before purchasing.

Johnson's is not responsible for a customer's failure to measure the intended delivery path or installation area.

15. MATTRESS PRODUCTS

Mattresses may be subject to manufacturer-specific warranties, comfort policies, trial periods, return restrictions, hygiene requirements, exchange fees, transportation fees, or other conditions.

Mattress comfort is subjective.

A mattress that is comfortable for one person may not be comfortable for another.

Customers are responsible for reviewing applicable manufacturer and Johnson's policies before purchase.

Mattress dimensions, firmness descriptions, construction, materials, and other specifications may vary by manufacturer and model.

16. APPLIANCES

Appliance purchases may be subject to manufacturer specifications, installation requirements, electrical requirements, plumbing requirements, ventilation requirements, gas requirements, clearance requirements, and other conditions.

Customers are responsible for ensuring that their home or property can properly accommodate the appliance.

Where installation is provided, installation services may be subject to additional terms and limitations.

Johnson's is not responsible for pre-existing conditions, inadequate electrical systems, plumbing, gas lines, ventilation, structural conditions, code violations, or other conditions outside Johnson's reasonable control.

17. DELIVERY

Delivery services may be subject to:

Geographic limitations;
Delivery fees;
Minimum purchase requirements;
Scheduling availability;
Access requirements;
Weather;
Road conditions;
Product availability;
Customer readiness;
Installation requirements;
Building restrictions; and
Other conditions.

Delivery dates and time windows are estimates unless Johnson's expressly guarantees a specific date or time in writing.

Johnson's is not responsible for delays caused by circumstances beyond its reasonable control.

Customers are responsible for providing accurate delivery information and ensuring reasonable access to the delivery location.

18. DELIVERY ACCESS AND CUSTOMER RESPONSIBILITIES

Before delivery, customers should ensure:

Driveways are accessible;
Entryways are accessible;
Doors and hallways provide sufficient clearance;
Furniture can safely pass through the delivery path;
The delivery area is reasonably prepared;
Pets and other hazards are secured;
Parking restrictions are addressed;
Building management requirements have been satisfied; and
Any necessary permissions have been obtained.

If merchandise cannot reasonably be delivered because of access limitations, unsafe conditions, inaccurate customer information, or other circumstances attributable to the customer, additional charges, rescheduling, return, cancellation, or other consequences may apply, subject to applicable law and the applicable sales agreement.

19. INSTALLATION

Installation services, when available, are subject to the specific installation agreement and applicable manufacturer requirements.

Installation may not include:

Structural modifications;
Electrical upgrades;
Plumbing modifications;
Gas-line modifications;
Ventilation modifications;
Code corrections;
Removal of non-standard structures;
Repairs to existing systems;
Wall or floor reconstruction;
Specialized construction;
Moving unrelated property; or
Other work not expressly included in the installation agreement.

Additional charges may apply for conditions requiring work beyond the agreed scope.

20. MANUFACTURER REBATES

Manufacturer rebates are generally offered and funded by the manufacturer, not Johnson's.

Unless expressly stated otherwise, Johnson's does not guarantee:

Eligibility for a manufacturer rebate;
Approval of a rebate;
Rebate payment;
Rebate processing time; or
Continued availability of a rebate program.

Customers are responsible for complying with all manufacturer rebate requirements, including deadlines, documentation, registration, qualifying products, and other conditions.

21. FINANCING

Financing offers are subject to credit approval and the terms of the applicable financing provider.

Advertising a financing offer does not guarantee that every customer will qualify.

Financing terms may vary based on:

Credit approval;
Account status;
Promotional period;
Purchase amount;
Applicable lender requirements;
Applicable financing agreement; and
Other conditions.

The financing agreement provided by the financing company controls the financing relationship.

Johnson's is not the lender unless expressly stated otherwise.

22. “FREE” OFFERS

When merchandise or services are advertised as “free,” the offer may be subject to qualifying purchases, minimum purchase requirements, promotional periods, exclusions, availability, or other conditions.

“Free” does not necessarily mean that no taxes, delivery charges, installation charges, fees, or other charges apply.

All conditions applicable to a free-item promotion must be satisfied to receive the promotional item.

23. LIMITED-TIME PROMOTIONS

Promotional offers are available only during the stated promotional period unless otherwise required by law.

Promotions may end earlier if:

Inventory is exhausted;
A promotional allocation is exhausted;
The manufacturer ends the promotion;
The financing program ends;
A technical or advertising error occurs; or
Other stated promotional conditions occur.

Unless expressly stated otherwise, promotional offers do not apply retroactively to purchases completed before the promotion began.

24. COUPONS AND PROMOTIONAL CODES

Coupons and promotional codes:

May have expiration dates;
May be limited to qualifying merchandise;
May be limited to one use;
May not be transferable;
May not be redeemable for cash;
May not be combined with other offers; and
May contain additional restrictions.

Johnson's reserves the right to reject coupons or promotional codes that appear altered, duplicated, unauthorized, expired, fraudulently obtained, or otherwise invalid.

25. GIFT CARDS AND PROMOTIONAL GIFT CARDS

Gift cards and promotional gift cards are subject to applicable law and the terms provided at issuance.

Promotional gift cards may have additional restrictions, expiration dates, qualifying purchase requirements, or redemption limitations where legally permitted.

Gift cards may not be reproduced, duplicated, altered, or used fraudulently.

Johnson's reserves the right to refuse redemption of a gift card where fraud, unauthorized use, alteration, or other unlawful activity is reasonably suspected, subject to applicable law.

26. PRICE MATCHING AND PRICE GUARANTEES

Any price match, price guarantee, or similar offer is subject to the specific terms of that program.

A competitor's advertised price may not qualify if it involves:

Clearance merchandise;
Closeout merchandise;
Liquidation;
Going-out-of-business sales;
Membership pricing;
Coupon pricing;
Rebate pricing;
Financing conditions;
Limited quantities;
Marketplace sellers;
Third-party sellers;
Errors;
Bundled offers;
Different models or configurations; or
Other excluded circumstances.

The specific price-match policy in effect at the time of purchase controls.

27. RETURNS, EXCHANGES AND CANCELLATIONS

Returns, exchanges, and cancellations are subject to the applicable sales agreement and Johnson's policies in effect at the time of purchase.

Certain merchandise may be:

Final sale;
Non-returnable;
Non-exchangeable;
Special order;
Custom order;
Clearance;
Closeout;
Open box;
Floor model;
Used;
Delivered or installed; or
Subject to manufacturer-specific restrictions.

Nothing in these Terms is intended to eliminate any return, cancellation, refund, warranty, or other consumer right that cannot lawfully be waived.

28. WARRANTIES

Products may be covered by manufacturer warranties or other written warranties.

Warranty coverage is determined by the applicable warranty terms.

Customers should retain receipts, invoices, warranty documents, and other proof of purchase.

Johnson's does not expand or alter a manufacturer's warranty unless Johnson's expressly provides a separate written warranty.

To the maximum extent permitted by applicable law, warranty claims are subject to the applicable manufacturer's or service provider's procedures and limitations.

29. CUSTOMER REVIEWS AND TESTIMONIALS

Customers may be invited to submit reviews, ratings, testimonials, photographs, videos, comments, or other content.

By voluntarily submitting content to Johnson's for publication, the customer represents that:

The customer has the right to submit the content;
The content is truthful and represents the customer's genuine experience;
The content does not knowingly violate another person's rights;
The content does not contain unlawful, fraudulent, defamatory, or infringing material; and
The customer is not falsely representing a relationship with Johnson's.

Johnson's may moderate, refuse, remove, or decline to publish submitted content where permitted by law.

Johnson's will not interpret this section as authorizing deceptive reviews, fabricated testimonials, or undisclosed material relationships.

30. CUSTOMER-SUBMITTED CONTENT

If a customer voluntarily submits photographs, videos, reviews, comments, testimonials, suggestions, or other material to Johnson's, the customer grants Johnson's a non-exclusive, royalty-free, worldwide license to use, reproduce, display, publish, distribute, edit, and otherwise use the submitted material for legitimate business, marketing, advertising, website, social media, and promotional purposes, subject to applicable law.

The customer should not submit confidential information, payment information, passwords, government identification numbers, or other sensitive information through public website forms, reviews, or social media.

31. ADVERTISING DISCLOSURES

Johnson's may advertise through television, radio, print, websites, search engines, social media, email, text messages, direct mail, third-party advertising platforms, and other media.

Different advertising channels may have different space, character, formatting, or disclosure limitations.

Johnson's may provide additional terms, exclusions, or disclosures through links, footnotes, promotional pages, signage, sales documents, or other communications.

No disclosure is intended to contradict a material statement made in an advertisement.

32. EMAIL COMMUNICATIONS

By voluntarily providing an email address and consenting where required, customers may receive communications concerning:

Purchases;
Orders;
Delivery;
Customer service;
Promotions;
Special offers;
Store events;
New products;
Surveys;
Reviews;
Other legitimate business communications.

Marketing emails will include an appropriate method for opting out where required by applicable law.

Opting out of marketing communications does not necessarily prevent Johnson's from sending transactional or service-related communications concerning a customer's purchases, orders, account, or other business relationship.

33. SMS / TEXT MESSAGE MARKETING

Where a customer provides a telephone number and provides the required consent to receive marketing text messages, Johnson's may send promotional or marketing messages through SMS or other messaging services.

Message frequency may vary.

Message and data rates may apply depending on the customer's wireless provider and plan.

Customers may opt out of marketing text messages by following the opt-out instructions provided in the applicable message or by contacting Johnson's through an available customer-service channel.

Consent to receive marketing text messages is not a condition of purchasing merchandise.

Transactional or service-related messages may be governed by separate consent or communication requirements.

34. THIRD-PARTY WEBSITES AND SERVICES

The website may contain links, integrations, advertisements, embedded content, payment services, financing services, manufacturer websites, social media platforms, mapping services, review platforms, or other third-party services.

Johnson's does not control third-party websites or services.

Third-party websites may have their own:

Terms of service;
Privacy policies;
Advertising practices;
Security practices;
Warranty terms;
Return policies; and
Other rules.

Customers should review the applicable third-party terms before using those services.

35. WEBSITE AVAILABILITY

Johnson's does not guarantee that the website will always be:

Available;
Uninterrupted;

Accurate;
Current;
Free from viruses or harmful components; or
Compatible with every device or browser.

Johnson's may modify, suspend, discontinue, or restrict portions of the website at any time.

Johnson's will make reasonable efforts to restore website functionality when technically and commercially practical.

36. PROHIBITED WEBSITE USE

You may not use the website to:

Violate applicable law;
Commit fraud;
Attempt unauthorized access;
Interfere with website operation;

38. TYPOGRAPHICAL, TECHNICAL AND SYSTEM ERRORS

Website content, advertisements, pricing systems, inventory systems, promotional systems, email systems, and other electronic systems may occasionally experience errors.

Johnson's reserves the right to correct errors and update information.

Where permitted by law, Johnson's may cancel or correct a transaction materially affected by an obvious technical or pricing error.

If a customer has already paid an amount affected by such an error, Johnson's will handle the transaction in accordance with applicable law and its applicable policies.

39. FORCE MAJEURE

Johnson's is not responsible for delays or failures caused by circumstances beyond its reasonable control, including but not limited to:

Severe weather;
Natural disasters;
Fire;
Flood;
Transportation disruptions;
Supplier delays;
Manufacturer delays;
Labor disruptions;
Government actions;
Utility failures;
Internet or telecommunications failures;
Cybersecurity incidents;
Acts of war;
Terrorism;
Civil disturbances;
Pandemics;
Public emergencies; or
Other events beyond Johnson's reasonable control.

Nothing in this section limits rights or remedies that cannot legally be limited.

40. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOHNSON'S FURNITURE & MATTRESS GALLERY, ITS OWNERS, AFFILIATES, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF THE WEBSITE, ADVERTISING, PRODUCT INFORMATION, WEBSITE ERRORS, DELAYS, UNAVAILABILITY, OR OTHER MATTERS COVERED BY THESE TERMS, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE LIMITED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOHNSON'S LIABILITY ARISING FROM A PARTICULAR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, EXCEPT WHERE APPLICABLE LAW PROHIBITS SUCH A LIMITATION.

NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

41. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES AND WITHOUT WARRANTIES EXCEPT AS EXPRESSLY PROVIDED IN WRITING.

JOHNSON'S DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, OR ERROR-FREE.

PRODUCT WARRANTIES ARE GOVERNED BY THE APPLICABLE WRITTEN WARRANTY, MANUFACTURER WARRANTY, OR OTHER EXPRESS WARRANTY PROVIDED WITH THE PRODUCT.

NOTHING IN THIS SECTION ELIMINATES ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.

42. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Johnson's Furniture & Mattress Gallery and its owners, employees, agents, contractors, affiliates, and representatives from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees where recoverable by law, arising from:

Your unlawful use of the website;
Your violation of these Terms;
Your fraud or intentional misconduct;
Your violation of another person's rights;
Your submission of unlawful or infringing content; or
Your violation of applicable law.

This provision does not require indemnification to the extent prohibited by applicable law.

43. PRIVACY

Information collected through the website may be subject to a separate Privacy Policy.

Customers should review the applicable Privacy Policy to understand how information may be collected, used, disclosed, stored, and protected.

These Terms do not replace or supersede any legally required privacy notice.

44. CHILDREN
